KIT Consulting provides engineering consulting services including but not limited to EPCC Project Management, Tendering Support, Technical Due Diligence, and Remote Engineering Services. Specific services, deliverables, timelines, and fees are outlined in individual service agreements or proposals.
Professional Standards
We commit to providing our services with reasonable skill and care, in accordance with accepted industry standards and professional practices. However, engineering consulting involves professional judgment, and results may vary based on project-specific circumstances.
Client Responsibilities
Clients are responsible for providing accurate, complete, and timely information necessary for service delivery. Clients must cooperate with our team, respond to requests promptly, and provide access to relevant sites, documents, and personnel as needed.
Ownership of Content
All content on this website, including text, graphics, logos, images, and software, is the property of KIT Consulting or its content suppliers and is protected by Malaysian and international copyright laws.
Work Product
Unless otherwise agreed in writing, all reports, analyses, designs, and deliverables created by KIT Consulting remain our intellectual property until full payment is received. Upon payment, clients receive a license to use the work product for the intended project purpose.
Restricted Use
You may not reproduce, distribute, modify, create derivative works of, publicly display, or commercially exploit any content from our website without express written permission from KIT Consulting.
Service Limitations
Our services are provided on an 'as is' and 'as available' basis. We make no warranties, expressed or implied, regarding the accuracy, reliability, or completeness of our services or any information provided.
Liability Cap
To the maximum extent permitted by law, KIT Consulting's total liability for any claims arising from our services shall not exceed the total fees paid by the client for the specific services that gave rise to the claim.
Exclusion of Consequential Damages
KIT Consulting shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from your use of our services.
Both parties agree to keep confidential any proprietary or sensitive information disclosed during the engagement. This obligation survives the termination of any service agreement. We implement reasonable measures to protect client information from unauthorized access or disclosure.
Either party may terminate an engagement by providing written notice as specified in the service agreement. Upon termination, clients remain responsible for payment of all services rendered up to the termination date. We reserve the right to suspend or terminate services for non-payment or breach of terms.
Payment terms are specified in individual service agreements or proposals. Unless otherwise stated, invoices are due within 30 days of receipt. Late payments may incur interest charges at the rate of 1.5% per month or the maximum rate permitted by law, whichever is lower. Clients are responsible for all costs of collection.
Governing Law
These Terms and Conditions shall be governed by and construed in accordance with the laws of Malaysia, without regard to its conflict of law provisions.
Jurisdiction
Any disputes arising out of or relating to these terms or our services shall be subject to the exclusive jurisdiction of the courts of Kuala Lumpur, Malaysia.
Mediation
Before pursuing formal legal action, parties agree to attempt to resolve disputes through good faith negotiation and, if necessary, mediation with a mutually agreed-upon mediator.
You agree to indemnify, defend, and hold harmless KIT Consulting, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with your breach of these terms or your use of our services.
If any provision of these Terms and Conditions is found to be unenforceable or invalid under any applicable law, such unenforceability or invalidity shall not render these terms unenforceable or invalid as a whole. Such provisions shall be deleted without affecting the remaining provisions herein.
KIT Consulting shall not be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including but not limited to acts of God, war, terrorism, pandemic, labor disputes, or governmental actions. In such cases, we will make reasonable efforts to minimize disruption and notify affected parties promptly.
